In addition to the powers conferred on the board of directors directly under the provisions of the memorandum or pursuant to applicable law, the board of directors may exercise all its powers and take all steps and actions that may be taken or executed by the company subject to the laws of the State of Delaware and the founding act. Chairman or president in the absence or lack of chairman can independently sign all documents relating to the Company's business, including, among others, contracts, agreements and other documents (including documents stating the debt), checks and other negotiable instruments on the disbursement of funds of the company.
